Constitution and Rules for IBM Retirees Club
- Title
The name of the Club shall be IBM Retirees Club (Hursley).
- Objectives
The objectives of the Club shall be to organise recreational,
cultural and social activities for retirees of IBM United Kingdom Group of Companies.
- Membership
The following are eligible for membership of the Club:
- IBM Retirees
Any IBM retiree who has been in receipt of an IBM pension from IBM United
Kingdom Limited from his/her date of retirement
- The surviving spouse of an IBM Retiree, as in 3a above
- Other IBM retirees may become members at the discretion of IBM management.
Membership does not extend to those inactive IBM employees on the Sickness and Accident Plan.
On retirement, the IBM employee will be invited to join the Retiree Club of their choice.
Should circumstances arise where the retiree wishes to join another Club, he/she should notify Retiree Services,
IBM North Harbour.
- IBM Club
All IBM retirees and their spouses are automatic members of the IBM Club and do not
have to pay any form of Club subscription to be an IBM Retiree Club member.
- IBM Retiree Club Management
- The Retiree Club Committee shall consist of the officers of the Club,
a number of ordinary members, as deemed appropriate by the appointed Company Trustees.
- The officers of the Retiree Club shall consist of a Chairman, Treasurer and Secretary,
all of whom shall be elected annually.
- The objective of the Retiree Club Committee is to arrange a social programme to
cater for the varied interests of members and any additional activities the Trustees
may feel are necessary for the Club.
- Five members of the Committee may form a quorum.
In the absence of the Chairman, the Secretary presides at Committee meetings.
In the absence of both Chairman and Secretary, the meeting elects a Chairman.
The Committee shall meet regularly and at least four times each year to review the finances and business of the Club.
Minutes of all meetings shall be taken and a copy forwarded the IBM management representative.
Responsibilities of Officers
Chairman
The Chairman’s duties are to chair all meetings of the Club and to act as interface between the Club and IBM management.
Secretary
The Secretary's duties are to convene and attend all meetings of the Committee and to take
minutes of the proceedings which should be presented for approval at the following meeting of the Committee.
Treasurer
The Treasurer's duties are to keep full and accurate accounts of all monies paid and received
by the Club and to prepare a full statement of accounts within 28 days of the Club's financial year end.
Finance
The Club's financial year shall end each 31 December and the accounts shall be audited
by an external Company of Chartered Accountants for presentation at the next Annual General Meeting.
At the discretion of the Company, the Club will receive a twice-yearly donation.
This sum will be related to the number of active members as at the preceding 31st December.
Club members and guests will be expected to make a contribution to the event they wish to attend.
No money of the Club or any gain arising from the carrying on of the Club’s business shall be
applied otherwise them for the benefit of the Club as a whole.
The Club shall have an account with a recognised Bank or Building Society and such account shall
only be drawn upon a minimum of two signatories being the signatures of the Treasurer for the
time being of the Club and one other from the Chairman, or Secretary.
Election
The IBM Club Committee shall have the power at any time to fill any ‘casual' vacancy among its members.
Any member so appointed shall hold office only until the next Annual General Meeting but shall be
eligible for re-election.
Annual General Meeting
An Annual General Meeting of the IBM Retirees Club shall be held in each year upon a date and a time to
be fixed by the General Committee and previously agreed with IBM management.
Fifteen months shall not elapse without such meeting.
The quorum at the meeting shall be 20 retired members or one tenth of the Retiree members of the Club,
whichever shall be the less.
The Annual General meeting shall:
- Receive the audited accounts
- Receive a report from the Chairman
- Elect the Officers and General Committee members
- Consider and if appropriate pass any resolution which the Chairman of the meeting rules is in order,
which ruling shall be final and binding on all the members.
The Chairman’s Report, the Treasurer's Report and financial statement (audited and signed)
should be sent to the IBM management contact at least two weeks before the date of the meeting.
Notice of Meeting:
Twenty-one days notice shall be given of all Annual and Extraordinary General Meetings to all
members entitled to vote. The non receipt of such notice by any such member shall not invalidate the proceedings.
All retiree members shall be entitled to vote at a General Meeting of the Club and each member shall have one vote.
Extraordinary General Meeting
An Extraordinary General Meeting may be convened by the direction of the Club Committee upon
a request from not less than 20 retiree members or one tenth of the Retiree members of the Club,
whichever shall be the less. Such request shall state the purpose of the meeting.
The quorum at any Extraordinary General Meeting shall be 20 Retiree members.
At the Extraordinary General Meeting, the only business to be discussed is that for which the meeting is called.
Business and Voting at General Meetings
The business at a General Meeting shall be limited to that provided by these rules and those further
matters set out in the notice convening the meetings.
At all General Meetings of the Retiree Club the Chairman or in his absence a member of the Committee
shall take the chair.
Membership Listings
Membership listings will be provided to the Retiree Club Secretary by Retiree Services on a quarterly basis.
Trustees
There shall be two Trustees of the Club who shall be those persons for the time being holding the
respective offices of Employee programmes Manager and Personnel Staff Director, based at IBM North Harbour.
Suspension of Membership
- The Committee has the right to recommend to IBM management the reprimand or suspension of any member(s)
whose conduct is in their opinion prejudicial to the interests of the Club.
- Only IBM management may suspend or withdraw eligibility for membership of the Club from any member.
Dissolution
If at any General Meeting of the Club at which 20 members entitled to vote shall be present,
a resolution for the dissolution of the Club (in this Rule called "the shall be first resolution"),
shall be passed by a majority of not less than three quarters of those present.
Also, at the sole discretion of the Trustees any Location Retirees Club which has been
inactive and dormant for at least six months will be dissolved.
The Trustees shall take immediate steps to convert into money all the property of the
Club with power to postpone or delay the conversion of any particular property at their sole discretion.
Out of the proceeds of such conversion the Trustees shall discharge all debts and liabilities
of the Club including the expenses of such conversion and any remaining balance shall be
disposed of by them as directed by resolution of the Club in general meeting and
thereupon the Club shall be dissolved; provided that, if the Club shall not within
six months of the date of the first resolution resolve on the disposition of any
such balance the same shall be applied by the Trustees as they shall at their sole discretion decide.
Observation and Interpretation
Every member binds themselves to abide by the Rules of the Club and any modification made
thereto and also accept as final and binding the decision of the General Committee in all
cases of dispute or disagreement as to interpretation of these rules.
Constitution Changes
Any changes to the Constitution which may from time to time be required must
first be approved by the Trustees on behalf of the Company and by a majority of members
present at an Annual General Meeting or Extraordinary General Meeting.
